Meet our Directors

Historically, the Board of Directors represents the interests of the Shareholders.

However, proactive, long term focused corporations now empower the Board of Directors to consider the interests of a myriad of other stakeholders when making strategic decisions.

The expanded universe of stakeholder interests include the environment, the communities in which GreenSafe’s plants are located, our feedstock providers and suppliers, the purchasers of our quality by-products, our employees and the government.

At GreenSafe, the Board of Directors is actively engaged in understanding the interests of each stakeholder and challenges the senior management to incorporate those concerns in their planning and business affairs. Meetings are held monthly or more often as deemed necessary.

While each Director comes with their own educational and experiential history to the Board of Directors, they can, independently of the senior management, hire advisors for short term assignments to provide added insights. These advisors may be in the area of succession planning, compensation, benefits, insurance and risk management, accounting, legal and tax planning to name a few key areas.

Further, they can also establish an advisory board for longer term input from professionals in such areas as corporate finance, plant engineering and the environment.

GreenSafe will be establishing such an advisory board to assist in many areas. As an advisory board, it has no executive authority.

The Directors of GreenSafe do not receive any honorariums, shares or options for their participation. They are reimbursed for their out-of-pocket expenses. In addition, they are fully protected by insurance and by a general protection by the Company from litigation while in the lawful execution of their responsibilities.

Clifford Kennedy, B. PE & M. Sc.

Director

Clifford has 26 years of experience in a variety of economic development portfolios, including the government of New Brunswick and private sector initiatives.  These experiences varied from tourism development to regional economic development (primarily responsible for the former Regional Economic Development Commissions) to investment attraction (focusing on the North American, Central American and European marketplaces) and finally to sector development with New Brunswick manufacturing companies.  In addition, Clifford had previously worked for over 10 years in other administrative responsibilities at the municipal and provincial levels.  He is perfectly bilingual (French and English).

While in the employ of the Province of New Brunswick, Clifford was co-owner of an IT services firm by the name of CompuTask (1981 to 1985) and from 1994 to 1998, he was a senior partner in a manufacturing firm by the name of SMI (Strait Moorings International).

Clifford retired from the Provincial government in May 2004 and started his own company under the name of BDSM Canada Inc. (Business Development Sales and Marketing Canada Inc.).  In addition to providing business development expertise to manufacturing clients, including cluster development under EMC Canada (Excellence in Manufacturing Consortium Canada), Clifford was also a contract supplier as Industrial Commissioner for the Town of Caraquet from July 2004 to October 2007.  His primary duties were focused on investment attraction from the North American, European and Asian marketplaces.  From November 2007 until March 2010, Clifford provided consulting advice to the Town of Caraquet on a project by project basis only.

On October 31, 2008, Clifford was appointed as a Director on the Board of GreenSafe Demanufacturing Inc.


Captain The Reverend Canon Kristine Swire, B.A., M.Div., S.P.H.

Director

Kristine is an Officer in the Canadian Forces serving with the Royal Hamilton Light Infantry. She brings a variety of experience in business, public relations and social services to the GreenSafe team.  Her previous work gives her experience in business brokering and short line railways, and she holds a patent on a staircase device designed for both residential and commercial markets.

In addition she is a trained therapist, an ordained priest in the Anglican Church of Canada, a Canon of Christ’s Church Cathedral in Hamilton, Ontario and the Sub-Prelate in the historic Knights Hospitallier of St. John of Jerusalem, the parent organization of St. John’s Ambulance.

Her portfolio in the GreenSafe organizational chart comprises the care of both the staff of the GreenSafe facilities and the communities in which they are located. Kristine identifies as her Board priority establishing GreenSafe as the employer of choice and outstanding corporate citizen of any community in which they are involved.

On a personal level her energies are directed towards the issues of child hunger and child poverty.



Peter Swire, B. Comm. (Hons), CMA, O.N.

Chairman of the Board and President

Peter Swire is an honours graduate of the prestigious School of Business at Queen’s University and has a stellar educational background in financial accounting, corporate finance, economics, business law, human resources, strategic planning, and ethics.

Peter is an accredited Certified Management Accountant.

He was previously employed in the Finance Division of US Steel Canada Inc for 17 years whose primarily responsibilities included the annual construction and oversight of an $ 850 million budget and international trade dispute matters. His public corporate finance experience spanned nearly a decade and included the evaluation of private placement and IPO investment opportunities for a full–service investment dealer licensed in almost every province in Canada.

Peter has been involved with private equity markets for many years, with much of his work focussing on bringing advanced European technologies to the North American market. He has decades of experience in business development in the areas of metal fabrication, alternative energy, shortline railways and travel; and also developed the patent on an innovative design product for the construction industry.

Peter had served on a Board of a US listed railway holding company.

Peter Swire was a former Director and Shareholder of ARCI – Appliance Recycling Canada Inc which operated three refrigerator recycling plants under two public utility contracts. The plants were located in Champlain, QC, Mississauga, ON and Windsor, ON. Each of these facilities employed a manual vacuum degassing system and did not treat the ozone depleting substances (ODS) contained in the foam. Despite the use of manual systems, ARCI was selected as one of the two finalists for the Ontario wide refrigerator culling contract.

 

The short term nature of the contracts coupled with the manual nature of the operation generated a break even operation. As a professional accountant, Mr. Swire realized that the existing industry wide business model was not sustainable nor would it attract sufficient capital to drive down costs and to make a satisfactory return on shareholders capital.

Peter has been involved with many charities and not-for-profit agencies for over thirty years including the United Way of Hamilton-Burlington, Junior Achievement of Hamilton and Mission Services to name a few.

In its inaugural year, Peter was recognized as a Bishop’s Appointee to the Order of Niagara for his contributions to the life of the Diocese through his support of parishes and their accounting and financial concerns as well as his participation in several diocesan-wide committees.
